Bihar Societies (NGO) Registration Act

Bihar Societies (NGO) Registration Act

The British passed the Societies Registration Act in India in 1860. The Act was based on The Literary and Scientific Institutions Act, which was passed in England in 1854.

The main Act is simple enough. However, the states have power (Charitable and Religious institutions fall under state list) to amend the main Act for their own state. Many states have amended the main Act, These amendments cause confusion in section references, such as Section 4A for Bihar is different from section 4A for Goa. Others have passed their own independent Act.

It has proved very complex task to get the latest amendments for each state. Therefore, please reconfirm the information presented here before taking any important decisions.

[Societies Registration Act, 1860 as amended by the State]

Registration

By filing Memorandum of Association and certified copy of Rules and Regulations along with a fee of Rs.10/- (Sec. 3).

All documents to be filed with the Inspector General of Registration, Patna.

The Inspector General will issue a certificate of registration in Form ‘A’. He / she will also send a certificate of acknowledgement in Form ‘B’ by post (rule 6).

Alteration

You can alter the objects of the society, or merge with another society. For this, you have to convene two general body meetings (at interval of one month). Three-fifths of the members have to approve the change (Sec. 12).

Society can also change its name with consent of three-fifths of its members (Sec. 12A). Seven members, including secretary, should sign notice of change. This notice should be sent to Registrar. The change becomes effective when approved by the Registrar (Sec. 12B).

List of Governing Body Members

File it every year within 14 days of annual general meeting. If general meetings are not held, file this in the month of January (Sec. 4). A list showing changes in Governing Body during the year should also be filed. Also file a corrected and certified copy of rules of the Society (Sec. 4A).

Any change in rules of the society should be intimated within 15 days of the change. This should also be certified by at least three governing body members (Sec. 4A).

Accounts

Audited figures of Receipts and Expenditure for each financial year should be approved in a general meeting of the society. This should be filed within three months of end of the year. An activity report should also be filed along with this (rule 10).

Every society should also file a quarterly ‘Return on employment and employee compensation’ in Form – H. The return should be filed within fifteen days of end of each quarter (rule 11).

Dissolution

At least three-fifths (60%) of the general body members have to vote for dissolution of the society at a special meeting. Government’s consent is also required if it is a member or a contributor or interested in the society (Sec. 13).

Disposal of Property upon dissolution

After dissolution majority of members can decide to give the property (left after settlement of all debts and liabilities) to the Government (Sec. 14-A).

Cancellation

Inspector General of Registration can cancel the registration of a society. This can be done if the society moves its office to another state or its activities are against its own objects (Sec. 23).

Others

Any one can see the documents of the society on payment of Re.1. Copies can also be taken (Sec. 19, rules 15 to 18).

In this article we look at how to sell on Snapdeal and Snapdeal seller registration process.

Selling on Snapdeal – Documents & Registration Required

Before beginning to sell on Snapdeal, the business must first become a Snapdeal Seller by completing the registration process and submitting the required documents. If an established business proposes to sell on Snapdeal, the seller registration process can be completed quickly as the business may have the required tax registrations. On the other hand, if the Snapdeal seller is a new business or if the seller would like to use a new entity, certain tax registrations must be obtained prior to selling on Snapdeal.

Business Registration (May not be required for established businesses)

PAN Card, TIN Registration and Bank Account – in the name of the business is required to complete the Snapdeal seller registration process. Therefore, a Private Limited Company or Limited Liability Partnership (LLP) can be started, if an established business entity is not readily available during the seller registration process. Both Private Limited Company and Limited Liability Partnerships offer the promoters limited liability protection  and are a separate legal entity – that can be scaled or transferred. It is however recommended that ecommerce sellers start a private limited company, as it offers the ability to quickly scale up and also easily access bank or equity funding. LLPs on the other hand have restrictions while raising bank or equity funding, and therefore not recommended.

PAN Card

Permanent Account Number or PAN card copy must be submitted bearing the name of the businesses during the Snapdeal seller registration process. Both, Private Limited Company and Limited Liability Partnerships would have PAN Card in the name of the business. Proprietorship’s would have PAN card only in the name of the Proprietor.

TIN Registration

TIN Registration also known as VAT Registration or Sales Tax Registration is required to begin selling on Snapdeal. TIN registration is required for any person or entity selling goods or services in India – both offline or online. Therefore, TIN Registration must be obtained by applying to the relevant State Authorities prior to selling on Snapdeal. Entities without TIN Registration can only sell handicrafts, books, online education or unstitched fabrics.

Bank Account

A copy of cancelled cheque must be submitted to Snapdeal during the Snapdeal seller registration process. The bank account must be in the name of the business. Private limited companies and LLPs can both easily open bank accounts in the name of the business by submitting certificate of incorporation and PAN card. Opening a bank account in the name of the business is cumbersome for a proprietorship, as existence of the business must be proved through other tax or business registrations. Should I register a company or LLP for becoming a Paytm seller?

Business Registration

Selling on Flipkart as a Private Limited Company

Becoming a Flipkart Seller – as a Private Limited Company is one of the most preferable methods of becoming a Flipkart Seller as it provides limited liability protection to promoters, separate legal entity, easy transferability, ability to take on investors or partners and quickly scale-up operations. The following documents must be submitted for a Private Limited Company:

A Flipkart seller can also be a Partnership Firm. However, it is preferable to register a LLP (Limited Liability Partnership) while signing on as a Flipkart seller as it provides limited liability protection, easy transferability, separate legal entity and other documents required to quickly become a Flipkart seller.

Identity Proof

  • Partnership registration or LLP Incorporation Certificate
  • Partnership deed
  • Power of Attorney granted to a Partner or an Employee of the LLP or Partnership firm to transact business on its behalf
  • Any document identifying Partners and the person holding the Power of Attorney with their photographs
  • PAN Card of the LLP or Partnership Firm

Address Proof 

  • Any official valid document confirming the address of the Partners and the persons holding the Power of Attorney

  • Company Electricity bill
  • Lease or License agreement

 Selling on Flipkart as a Trust & Foundation

Trusts and Foundations can also become sellers on Flipkart. Documents similar to the above documents must be provided in the name of the Trust or Foundation to establish the legal identity of the Trust / Foundation and the address of the Trust / Foundation.


Flipkart Seller: Tax Registration Requirement

Once the Flipkart seller has decided on and registered a suitable business entity for the proposed business, the following tax registration and bank account in the name of the business or entity will be required:

  • Business name
  • PAN – PAN Card of the individual or private limited company or partnership
  • TIN – TIN Number is also known as VAT Number / Sales Tax Number / CST Number in the name of business
  • TAN – TAN is required for Tax Deduction at Source (TDS) – in the name of business
  • Bank account name
  • Bank account number
  • Bank IFSC code
